Fulcrum and Slate Medicines Agree to $245 Million Merger

Fulcrum Therapeutics and Slate Medicines have agreed to combine in an all-stock merger that will create a company focused on developing new treatments for migraine and other headache disorders.

Following the transaction, the combined company will operate as Slate Medicines and is expected to trade on Nasdaq under the ticker symbol “SLTE.” The deal is expected to give Slate access to additional resources to advance its clinical-stage migraine drug pipeline.

Alongside the merger, Slate has secured $245 million in an oversubscribed private placement backed by several healthcare investors. The financing is expected to close at the same time as the merger, subject to customary closing conditions.

Investors participating in the financing include Frazier Life Sciences, Forbion, RA Capital Management, Deep Track Capital, Foresite Capital, OrbiMed, RTW Investments and Mingxin Capital.

The combined company expects to have enough cash at closing to fund operations into 2029. The funding will support the development of Slate’s lead drug candidate, SLTE-1009, as well as other programs in its pipeline.

SLTE-1009 is a clinical-stage monoclonal antibody being developed to prevent migraine and other headache disorders. The treatment is designed to target two proteins involved in migraine biology: pituitary adenylate cyclase-activating peptide (PACAP) and vasoactive intestinal peptide (VIP).

Slate believes targeting both PACAP and VIP could provide a broader approach to blocking the pathway involved in migraine compared with treatments that target PACAP alone.

The company has designed SLTE-1009 for subcutaneous administration and extended its half-life, with the potential for dosing once every three months. The program has received clearance to begin Phase 1 clinical trials in Australia. Initial safety and pharmacokinetic data are expected in mid-2027.

The new company also plans to advance SLTE-1009 into a Phase 2 dose-ranging study in patients with migraine.

Slate is developing another migraine treatment, SLTE-2100, a bispecific antibody designed to target PACAP/VIP and calcitonin gene-related peptide (CGRP). The program is currently in lead optimization and is expected to enter clinical trials in the second half of 2027. Funding is expected to support the program through a Phase 2a study in migraine patients.

Slate also has an additional undisclosed migraine program under development.

“Migraine remains one of the most prevalent and disabling neurological diseases, yet millions of patients continue to be underserved by existing therapies,” said Gregory Oakes, CEO of Slate Medicines. He said the merger and financing will provide resources to advance SLTE-1009 and the company’s broader pipeline.

Alex C. Sapir, President and CEO of Fulcrum Therapeutics, said the transaction follows the company’s review of strategic alternatives and provides Fulcrum shareholders with an opportunity to participate in the development of new migraine treatments.

As part of the transaction, Fulcrum expects to declare a cash dividend for its pre-merger shareholders. The dividend will equal the amount by which Fulcrum’s net cash exceeds $20.3 million before the merger closes.

Slate’s management team includes CEO Gregory Oakes, President and Chief Operating Officer Neil Buckley, Chief Medical Officer Dr. Roger Cady and Chief Financial Officer John Umstead.

The company also has scientific and clinical advisory boards made up of neurologists and headache researchers who will support the development strategy for its migraine pipeline.

The merger and financing are expected to provide Slate with the financial resources needed to move its lead migraine therapy through early clinical development while continuing to expand its pipeline of next-generation headache treatments.
